Customer agreement
A written agreement for every project.
Before any payment, you review and sign a Service Agreement generated for your exact project — its pages, features, price, payment dates and terms.
What it covers
- Who — the studio’s legal name and mailing address, and yours. (The studio’s address appears only in your own agreement, not on this website.)
- Exact scope — every included page or screen, features, upgrades you chose, and what is not included.
- Price and payments — the total, your payment plan, each installment amount, milestone and estimated date.
- Missed payments — work pauses while a payment is overdue; if a later payment (including the second) is still unpaid 14 days after its due date, the agreement terminates automatically and payments made are forfeited.
- Revisions and extra work — how many rounds, what counts as a round, and the written change-order process (additional work is billed at $95 per hour).
- Your responsibilities — content, feedback times and third-party accounts.
- Delivery and acceptance — review periods, acceptance, and 30 days of defect fixes after launch.
- Cancellation and refunds — see the Refund and Cancellation Policy.
- Ownership — the custom work is assigned to you on final payment.
- Third-party services, confidentiality, data, liability, disputes and Illinois governing law.
How signing works
- You choose a payment plan on your project summary. The agreement updates with exact amounts and dates.
- You read the full agreement on screen. You can print or save it before signing.
- You confirm you agree to use electronic records and signatures, and that you have read and agree to the terms.
- You type your full legal name as your signature.
- We record the agreement version, a SHA-256 fingerprint of the exact text, your typed signature, the time, your IP address and browser — and email you a copy. You can download it again at any time.
Electronic signatures are recognized under the federal E-SIGN Act (15 U.S.C. § 7001 et seq.) and Illinois law. You may ask for a paper copy at no charge.

3. Price
- Premium Website: $3,600
- Additional page (1 page): $375
Total project price: $3,975 (USD).
This is a fixed price for the scope in section 2. Prices exclude any sales or use tax that may apply; if tax applies, it will be shown on an invoice before it is charged. The price does not include the third-party charges listed in section 13.
4. Payment terms
Payment plan chosen by the Client: Four payments of 25%.
- Payment 1: $993.75 — Agreement signed (project start). Estimated date: 2026-01-05. Due when you sign the agreement.
- Payment 2: $993.75 — Design direction approved. Estimated date: 2026-01-16. Due on the later of this date or the milestone being delivered for your review.
- Payment 3: $993.75 — Working build delivered on a private preview link. Estimated date: 2026-01-30. Due on the later of this date or the milestone being delivered for your review.
- Payment 4: $993.75 — Final build delivered for your review, before launch. Estimated date: 2026-02-09. Due on the later of this date or the milestone being delivered for your review.
The first payment is due at signing. Work starts as soon as it is received (the "project start date"), unless the Provider's schedule is full at that time; in that case the Provider tells the Client the expected start date and confirms by email when work starts. Each later payment becomes due on the later of the estimated date above or the date the Provider delivers the listed milestone for the Client’s review, and the Provider will email a payment link at that time. If the Provider is late in delivering a milestone, that payment moves with it. If the Client’s delays push a milestone back, the estimated date still applies.
Payments are made by credit or debit card, Apple Pay or Google Pay (processed securely by Square). The Provider never receives or stores full card numbers. Later installments are never charged automatically; the Client pays each one through a payment link.
5. Late payment and termination for non-payment
- A payment is late if it is not received by its due date. The Provider will email a reminder and may pause work until the payment is received; the delivery timeline is extended by the length of the pause.
- If any payment after the first — including the second payment — is not paid as agreed and is still unpaid 14 days after it becomes due, this Agreement terminates automatically at the end of that day, without further notice. The Provider will email at least one reminder during that period and will confirm the termination by email.
- On termination for non-payment: (a) the Client forfeits all payments already made, which the Provider keeps as compensation for work performed and time reserved for the Project, and which are not refunded; (b) the Provider has no obligation to complete or deliver any further work; (c) no ownership of, or license to, any deliverable passes to the Client, and the Client must not use any work that has not been paid for in full; and (d) access to previews and unfinished work ends.
6. Revisions and additional work
The price includes 3 revision round(s). A revision round is one consolidated list of changes, sent within the review period, to work already within scope. Unused rounds do not carry over and are not refundable.
New pages, features, content or design directions not described in section 2, or changes beyond the included rounds, are "additional work". Additional work is done only after the Client approves a written change order (email is enough) stating its price and effect on the timeline. Unless the change order lists a fixed price, additional work is charged at $95 per hour.
7. Client responsibilities
- Provide text, images, logos, product data, account access and other materials needed for the Project ("Client Materials").
- Respond to questions and review requests within 5 business days.
- Have all necessary rights to Client Materials. The Client is responsible for the accuracy and lawfulness of Client Materials, including product claims and pricing.
- Own and pay for third-party accounts the Project relies on (section 13), and keep their credentials secure.
- Be responsible for its own legal obligations as a website or app operator, including its privacy policy, terms, sales tax and industry rules. The Provider does not provide legal or tax advice.
8. Content deadlines and inactive projects
Client Materials are due within 10 business days after the project start date, unless agreed otherwise in writing. The delivery estimate starts when the materials are received. If the Project is on hold for more than 30 days because the Provider is waiting for the Client, the Provider may pause it and resume when its schedule allows. If it stays on hold for more than 60 days after written notice, the Provider may close the Project. Payments already made are kept as compensation for work performed and time reserved and are not refunded; unfinished work is not delivered, and no ownership or license passes to the Client (section 12). The Project may be resumed once, by written agreement, subject to the Provider's availability and payment of the remaining balance.
9. Delivery and acceptance
Estimated delivery: 3–5 weeks from the project start date, assuming timely Client Materials and feedback. This is an estimate, not a guarantee.
At each milestone the Provider delivers the work for review on a private link. The Client has 5 business days to accept it or report problems where the work does not match this Agreement. The Provider will fix reported problems that are within scope. Work is accepted when the Client confirms acceptance, when the review period ends without a report, or when the Client publishes or uses the work commercially.
After launch, the Provider will fix defects (things that do not work as agreed) reported within 30 days at no charge. This does not cover changes caused by the Client, third-party services or later updates to browsers, platforms or app stores.
10. Cancellation
The Client may cancel this Agreement at any time by written notice. The Provider may end this Agreement by written notice if the Client materially breaches it and does not fix the breach within 10 days after notice. Termination for non-payment is governed by section 5.
On cancellation by the Client, or by the Provider for a breach other than non-payment: payments already made are kept as compensation for work performed and time reserved (except as stated in section 11), no further payments become due, unfinished work is not delivered, and no ownership or license passes to the Client unless the full price has been paid (section 12).
11. Refunds
- If the Client cancels before the Provider has started work on the Project, all payments are refunded in full.
- After work starts, payments already made are not refundable, because they compensate work performed and time reserved for the Project.
- If the Provider cancels without cause, or cannot complete the Project, it refunds amounts paid for work not delivered.
- No refund is given when this Agreement is terminated for non-payment under section 5.
- Refunds are made to the original payment method.
12. Ownership and intellectual property
When the Client has paid in full, the Provider assigns to the Client all rights it holds in the final, custom deliverables created specifically for the Client under this Agreement (designs, custom code and content written by the Provider), except as stated below. Until full payment, the Provider grants the Client a license to review the work only.
The Provider keeps ownership of its pre-existing materials and general-purpose tools, code libraries, templates, know-how and techniques ("Provider Materials"). Where Provider Materials are part of a deliverable, the Provider grants the Client a perpetual, worldwide, non-exclusive, royalty-free license to use and modify them as part of the deliverable.
Open-source software, fonts, stock media and other third-party materials remain subject to their own licenses (section 13). Client Materials remain the Client’s property.
The Provider will not show the Project in its portfolio or marketing without the Client’s written permission.
13. Third-party services and licenses
The Project may rely on third-party services that the Client pays for directly and whose terms apply to the Client. Typical charges for this package:
- Domain name: About $10–$25 per year, depending on the extension (paid to Your domain registrar).
- Hosting: $0 on Cloudflare’s free tier for a site of this kind (paid to Cloudflare (your account)).
- Website editing tool (only with the “Edit your website yourself” upgrade): $0 — we use a free, open-source editing tool (paid to No one (free)).
- Video streaming (if needed): Usage-based; often a few dollars per month for a brand site (paid to Video host (e.g. Cloudflare Stream)).
These charges are estimates based on published prices and may change. The Provider is not responsible for price changes, outages, policy changes or approval decisions of third parties, including App Store and Google Play review.
14. Confidentiality
Each party will keep the other’s non-public business information confidential and use it only for the Project. This does not apply to information that is public, already known, independently developed or required to be disclosed by law. This obligation lasts for 3 years after the Project ends.
15. Personal data
The Provider handles personal information it receives from the Client in accordance with its Privacy Policy. If the Provider needs access to personal data of the Client’s customers, it will use it only to perform the Project, protect it with reasonable security measures, and delete or return it when the Project ends.
16. Warranties and limitation of liability
The Provider will perform the work with reasonable skill and care consistent with industry practice. Except as stated in this Agreement and to the extent permitted by law, the work is provided without other warranties, express or implied, including warranties of merchantability and fitness for a particular purpose. The Provider does not guarantee search rankings, sales, traffic or uninterrupted operation of third-party services.
To the extent permitted by law, neither party is liable to the other for indirect, incidental, special or consequential damages, or lost profits; and the Provider’s total liability under this Agreement is limited to the amounts the Client has paid under it. These limits do not apply to a party’s fraud, gross negligence, willful misconduct, or any liability that cannot be limited by law.
17. Independent contractor
The Provider is an independent contractor and controls how the work is performed. Nothing in this Agreement creates employment, partnership or agency. The Provider is responsible for its own taxes. Where the Illinois Freelance Worker Protection Act applies, this Agreement is intended to serve as the required written contract, and payment is due on the dates stated in section 4.
18. Disputes and governing law
This Agreement is governed by the laws of the State of Illinois, without regard to conflict-of-laws rules. The parties will first try to resolve any dispute through good-faith discussion for 30 days after written notice. If not resolved, either party may bring the dispute in the state or federal courts located in Cook County, Illinois, and both parties consent to that venue. Either party may bring a claim in small-claims court where eligible. Nothing in this section limits rights that cannot be waived under applicable consumer protection law.
19. Electronic records and signatures
The parties agree to use electronic records and signatures for this Agreement, as permitted by the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.) and Illinois law. Before signing, the Client confirmed that they can access, download and keep this Agreement electronically. The Client may request a paper copy free of charge, and may withdraw consent to electronic records for future communications by email to the Provider; withdrawal does not affect the validity of this signed Agreement. A record of the signature (name, typed signature, time, IP address, browser and a SHA-256 fingerprint of this text) is kept by the Provider.
20. General
- Entire agreement: this Agreement, together with the Provider’s Terms of Service and Refund and Cancellation Policy at the time of signing, is the entire agreement for the Project. If they conflict, this Agreement controls.
- Changes: changes must be in writing (email is enough) and accepted by both parties.
- Notices: notices are given by email to the addresses in section 1, and are effective when sent unless a delivery failure is received.
- Severability: if any part is found unenforceable, the rest remains in effect and the unenforceable part is modified to the minimum extent necessary.
- Assignment: neither party may transfer this Agreement without the other’s written consent, except the Provider may use subcontractors bound by confidentiality, while remaining responsible for their work.
- Force majeure: neither party is responsible for delays caused by events beyond its reasonable control.
21. Signatures
